Ventive Hospitality to acquire stake in Hilton Goa resort owner Soham

The company plans to refurbish the resort facilities and add new rooms, a spa, and food and beverage outlets.

Ventive Hospitality, a joint venture (JV) between Blackstone Group and Panchshil Realty, has revealed plans to acquire a 76% stake in Soham Leisure Ventures, which owns Hilton Goa Resort.

The transaction, which carries an enterprise value of approximately Rs3.2bn ($36.1m), represents Ventive Hospitality’s first investment in India’s leisure hospitality sector.

In addition, Ventive states that the deal expands its collaboration with Hilton.

Under the proposed definitive agreements, the JV will make an initial cash payment of Rs1.2bn covering the resort.

The deal also includes an adjoining four-acre land parcel in Goa, owned by Soham, designated for branded villa development.

The land parcel has an estimated gross sale value of more than Rs1bn. The company expects proceeds from villa sales to contribute to its cash flows.

Ventive Hospitality chairman and executive director Atul Chordia said: “The Hilton Goa Resort acquisition is a landmark for Ventive, marking our foray into the leisure market in Goa. This move reinforces our commitment to building a diversified portfolio across business and leisure segments while maintaining capital discipline.”

The Hilton Goa Resort recorded an average daily rate (ADR) of Rs11,873 and maintained a 76% occupancy rate during the 2025 financial year.

Ventive intends to refurbish the existing resort and construct an additional 60 to 65 rooms, as well as introduce a spa and new food and beverage options.

Ventive Hospitality CEO Ranjit Batra said: “We are delighted to expand our partnership with Hilton through this resort in North Goa. With refurbishment, new room additions, the Hilton Goa Resort will become a marquee leisure destination.”

The transaction aligns with Ventive’s strategy to double its room portfolio to approximately 4,000 over five years.

The JV has 11 hospitality assets across business and leisure segments, with a total of 2,036 rooms. These properties are managed by international brands including Marriott, Hilton, Minor, and Atmosphere.

In July, Ventive signed a multi-property agreement with Marriott International to develop seven new hotels in India and Sri Lanka.
