Israel-based Fattal Hotel Group has proposed to take full ownership of PPHE Hotel Group in a deal that values 100% of the UK-listed company at £920.9m ($1.24bn).

Under the non-binding proposal, PPHE shareholders are being offered a cash price of £22 per share. Fattal currently holds 4% of PPHE’s share capital.

The proposal comes amid PPHE’s ongoing strategic review and formal sale process, which was launched in November 2025. The company operates hotels under the Park Plaza and art’otel brands across Europe.

According to PPHE’s website, the company has hotels in the UK, the Netherlands and Germany, as well as properties in Hungary, Croatia, Italy and Serbia. Most hotels are operated under the Park Plaza, art’otel, Arena Hotels & Apartments and Arena Campsites brands.

Through a partnership with Radisson Hotel Group, it also operates Radisson Collection and Radisson RED hotels.

PPHE’s strategic review was initiated shortly after controlling shareholders Eli Papouchado and Boris Ivesha indicated they were open to considering a partial sale of their interests. Together, they hold around 44% of the voting rights.

PPHE’s board, along with its adviser, has determined that Fattal’s proposal “represents fair value”.

The offer represents a premium of approximately 37.5% to PPHE’s share price at close on 26 May 2026, when shares stood at £16.

Fattal has said it is prepared to engage with the PPHE board and advisers over potential transaction structures. It will keep the proposal active for a limited period to allow for talks and to declare a firm offer within the next four weeks.

The Israeli company also retains the right to alter the nature or amount of its offer under certain conditions, including the introduction of securities or the reduction of the proposed price.

Listed on the Tel Aviv Stock Exchange, Fattal owns, leases, manages, and franchises hotels across Israel, Europe, and the UK and Ireland. Its main brands are Leonardo Hotels, Herods Hotels, NYX Hotels, and U Hotels.
